During the first phase of power sector reforms in Tamil Nadu, Government of Tamil Nadu had accorded in principle approval in G.O.Ms.No.114 Energy (B2) Department dated 08.10.2008 for the reorganisation of TNEB by the establishment of a holding company, by the name TNEB Ltd and two subsidiary companies, namely Tamil Nadu Transmission Corporation Limited (TANTRANSCO) and Tamil Nadu Generation and Distribution Corporation Limited (TANGEDCO) with the stipulation that the aforementioned companies shall be fully owned by Government. Accordingly TNEB has been reorganized from 01.11.2010 based on the Tamil Nadu Electricity Board (Reorganization and Reforms) Transfer Scheme 2010 notified by Government of Tamil Nadu vide G.O.(Ms).No.100 Energy (B2) Department dated 19.10.2010.

The Electricity Act 2003 mandates unbundling of State Electricity Boards under section 131. Hence, Government of Tamil Nadu had accorded in principle approval in G.O.Ms.No.114 Energy (B2) Department dated 08.10.2008 for the reorganisation of TNEB by the establishment of a holding company, by the name TNEB Ltd and two subsidiary companies, namely Tamil Nadu Transmission Corporation Limited (TANTRANSCO) and Tamil Nadu Generation and Distribution Corporation Limited (TANGEDCO) with the stipulation that the aforementioned companies shall be fully owned by Government.

Though the Transmission Company was formed as a separate company - TANTRANSCO, the generation and distribution business was retained in a single company viz., TANGEDCO in the first phase of reforms. The need for restructuring of TANGEDCO arisen as the distribution operations of the state of Tamil Nadu are huge needs specific concentration and most of the major states have separate distribution companies. Further in order to focus on clean/green energy transition a separate green energy company is warranted. To complete the restructuring process in Tamil Nadu, TANGEDCO is to be unbundled into Thermal generation, Green Energy and distribution companies. In view of the above, Energy Department, Govt of Tamil Nadu vide G.O (Ms) No. 6 dated 24.01.2024 has accorded approval for formation of Thermal Generation Company in the name of Tamil Nadu Power Generation Corporation Limited (TNPGCL) to take over the fossil fuel (coal, Naptha and gas) related generation business of TANGEDCO

Based on the approval of Memorandum of Association and Articles of Association of TANGEDCO and TNEB Limited by the Government of Tamil Nadu vide G.O.Ms.No.94 Energy (B2) Department dated 16.11.2009, Tamil Nadu Generation and Distribution Corporation Limited (TANGEDCO) and TNEB Limited was incorporated on 01.12.2009 with an authorized share capital of Rs.5.00 crore and paid up capital of Rs.5.00 Lakh each for TANGEDCO and TNEB Limited. The Certificates of commencement of business was obtained for the TANGEDCO on 16.03.2010 and for TNEB Ltd on 12.03.2010.

Also, Energy Department, Govt of Tamil Nadu vide G.O (Ms) No. 7 dated 24.01.2024 has accorded approval for formation of Green Energy Company in the name of Tamil Nadu Green Energy Corporation Limited (TNGECL) to take over the green energy business ( Hydro, Wind, Solar etc.,) of TANGEDCO and to merge the Tamil Nadu Energy Development Agency (TEDA) and its functions with Tamil Nadu Green Energy Corporation Limited (TNGECL). Further, existing TANGEDCO is allowed to continue as Generation and Distribution entity until the commencement of business of the new companies and consequently to rename TANGEDCO as Tamil Nadu Power Distribution Corporation Limited (TNPDCL) and permit to carry on with the Power Distribution business of TANGEDCO.

Based on the above notifications, the TNPGCL has been incorporated on 09.02.2024 and TNGECL has been incorporated on 10.02.2024. Subsequently provisional Transfer Scheme has been issued vide Notification No.90 dated 06.03.2024 (G.O. (Ms).No 32, Energy (B2), 6th March 2024) for providing and giving effect to the transfer of properties, interest, rights, liabilities, obligations, proceeding and personnel of TANGEDCO related to fossil fuel generation business and green energy business to TNPGCL and TNGECL respectively. This transfer scheme shall come into force on and from 6th March 2024.

The proposal for Assets Transfer and Employee transfer called as Tamil Nadu Electricity Board (Reorganization and Reforms) Transfer Scheme 2010 was notified by Government of Tamil Nadu vide G.O.(Ms).No.100 Energy (B2) Department dated 19.10.2010 with the effective date of implementation as 01.11.2010. Based on the above notification, TNEB has been reorganised from 01.11.2010.

Further, the Registrar of Companies /Ministry of Corporate Affairs has also approved the name change of Tamil Nadu Generation and Distribution Corporation Limited (TANGEDCO) into Tamil Nadu Power Distribution Corporation Limited (TNPDCL), on 27.06.2024.
